Terms and Conditions of Sale

1. Who we are and definitions

These terms and conditions of sale (the "Terms") apply to every order placed on ninonandco.com (the "Site"), operated by Maison Ninon LLC, a Wyoming limited liability company, trading as Ninon & Co. ("we", "us", the "Seller"). Customer service: contact@ninonandco.com; postal address in our Legal notice.

"Products" means the physical goods offered for sale on the Site. "Customer" or "you" means the person placing an order. "Consumer" means an individual acting for purposes wholly or mainly outside their trade, business, craft or profession. Please read these Terms carefully and save or print a copy before ordering. By placing an order you confirm that you have read and accept them. Nothing in these Terms affects your statutory rights as a Consumer.

2. Scope and changes

We may update these Terms at any time by publishing a new version on the Site; the version in force when you place your order applies to that order. The Site sells clothing and accessories intended primarily for women. Access to the Site is free. To order you must be at least 18 years old or have the permission of a parent or guardian.

3. Customer service

Our customer service is available by email at contact@ninonandco.com and through the contact form on the Site. Please include your name, your order number and the reason for your message. Business enquiries (press, partnerships, commercial proposals) are handled by email only.

4. Placing an order

The Products offered are those shown in the catalogue on the Site, each with a description prepared by us on the basis of information supplied by the manufacturer. Photographs are for illustration only: colours and details may differ slightly from the actual Products because of screen settings, lighting and angles.

You add Products to your basket, check its contents and correct any errors, enter your contact and delivery details, choose a delivery method, enter your payment details and billing address, add any discount code, and review a full summary before confirming. You are responsible for the accuracy of the information you enter. The contract between us is formed when you click the order button, accept these Terms and your payment is authorised; we will then send you an order confirmation by email. We may refuse or cancel an order where we reasonably suspect fraud, where a Product is unavailable, or where a pricing or description error has occurred, in which case we will refund any sum paid.

5. Prices and payment

Prices are shown in pounds sterling (GBP) and include VAT where applicable. Delivery charges, if any, are shown separately before you confirm your order. We may change prices at any time, but the price shown when you place your order is the price you pay. Payment is taken in full at the time of ordering by credit or debit card, Apple Pay, Google Pay, PayPal or any other method offered at checkout. Payments are processed by secure third-party payment providers; we never see or store your full card details. We keep order confirmations and invoices on a reliable, durable medium; our electronic records constitute valid evidence of the transactions between us.

6. Delivery

We deliver to the United Kingdom. Delivery times shown at checkout are estimates and may be affected by postal delays, strikes, weather or other events beyond our control; we will in any event deliver within 30 days of the contract being formed unless we agree otherwise with you. If we fail to deliver within that time, or within any additional reasonable period you set, you may cancel the order and receive a full refund. Risk in the Products passes to you when they are delivered to the address you gave. If your parcel arrives damaged, keep the packaging, photograph it and contact us within 48 hours. If a parcel is returned to us because of an incorrect address, a refused delivery or a parcel not collected, we will contact you to agree a refund (less the original delivery cost) or a re-delivery at your cost. Where the tracking shows delivery but you have not received the parcel, tell us within 7 days so that we can open an enquiry with the carrier and find a solution. 7. Right to cancel (Consumers)

Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 you may cancel your order for any reason within 14 days of the day you (or a person you nominate, other than the carrier) receive the Products. To cancel, send us a clear statement by email at contact@ninonandco.com; you may use the model form on our cancellation page. You must send the Products back within 14 days of telling us, to the return address we give you (our fulfilment warehouse is located in China; return postage, typically £25–£50, is at your cost, and a tracked service is strongly recommended). We will refund the price paid and any basic delivery charge within 14 days of receiving the Products back or of receiving proof that you have sent them, whichever is earlier, using the same payment method you used, unless you expressly agree otherwise. We may reduce the refund to reflect any reduction in the value of the Products caused by handling beyond what is necessary to establish their nature, characteristics and functioning. The right to cancel does not apply to sealed goods that are not suitable for return for health or hygiene reasons once unsealed after delivery, nor to gift cards or digital content once supplied. This right applies to discounted Products too; they are refunded at the price actually paid.

8. Statutory guarantees — faulty goods

Under the Consumer Rights Act 2015 the Products must be of satisfactory quality, fit for purpose and as described. If a Product is faulty you may, within 30 days of delivery, reject it and receive a full refund. After 30 days you are entitled to a repair or replacement and, if that is impossible or fails, to a price reduction or a refund. A fault appearing within 6 months of delivery is presumed to have existed at delivery unless we prove otherwise. In all these cases, return postage is at our expense. 9. Liability

We are not liable for any failure to perform our obligations caused by events outside our reasonable control (see section 10). We are responsible for foreseeable loss or damage caused by our breach of these Terms or our negligence, but we are not responsible for loss that was not foreseeable, for business losses, or for loss of profit, revenue, data or goodwill. Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, for fraud, or for any matter for which liability cannot be excluded by law. The choice of a Product and its suitability for you are your responsibility; the inability to use a Product does not give rise to compensation unless the Product is faulty, not as described, or you exercise your right to cancel. Minor differences between the Products and their images or descriptions, where they result from information supplied by the manufacturer or from reasonable marketing presentation and do not amount to a misleading commercial practice, do not constitute a breach.

10. Events outside our control

An event outside our control means any event that neither party could reasonably foresee or avoid and that makes performance impossible or substantially more difficult (for example strikes, transport disruption, epidemics, natural disasters, government action). Our obligations are suspended while such an event continues. If it lasts more than 90 days, either party may cancel the affected order by written notice, and we will refund any sums paid for Products not delivered.

11. Intellectual property

All content on the Site — texts, images, videos, illustrations, logos, graphics, product names and designs — belongs to Maison Ninon LLC or to third parties who have authorised its use, and is protected by copyright, trade mark and other intellectual property laws. You may use the Site for personal, non-commercial purposes only. Copying, reproducing, distributing, modifying or otherwise exploiting any part of the Site or its catalogue without our prior written consent is prohibited and may give rise to legal action.

12. Personal data

We process your personal data to fulfil your order, to communicate with you and to improve the Site, in accordance with the UK GDPR and the Data Protection Act 2018, as described in our Privacy Policy. You may exercise your data-protection rights by emailing contact@ninonandco.com, and you may complain to the Information Commissioner's Office.

13. Reviews and feedback

If you send us ideas, suggestions, reviews, photographs or other content, whether at our request or spontaneously, you grant us a non-exclusive, worldwide, royalty-free and perpetual licence to use, reproduce, adapt, publish, translate and display that content on any medium. We are not obliged to keep it confidential, to pay for it, or to respond to it, and we may remove it at any time.

14. General

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force. These Terms replace any previous terms on the same subject. You may not transfer your rights under these Terms without our written consent. If these Terms are made available in several languages and there is a conflict, the English version prevails.

15. Governing law and disputes

These Terms and any contract formed under them are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction, without prejudice to the mandatory consumer-protection rules of the country in which you live (Scotland or Northern Ireland, where applicable). We reserve the right to take legal action in the event of attempted fraud or unlawful use of a payment method.
